1. Overview

Welcome to Gcreationz.com (“we”, “our”, “us”). These Terms of Service (“Terms”) govern your use of our website, services, and deliverables, including Shopify development, digital marketing, design packs, automation, and consulting (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy, Cookie Policy, Data Sharing Opt-Out Policy, and Refund & Cancellation Policy. If you do not agree, you should not use our Services.

2. Eligibility & Accounts

• You must be at least 18 years old or the age of majority in your jurisdiction to use our Services.

• You are responsible for providing accurate, current, and complete information when engaging with our Services.

• You are solely responsible for safeguarding your account credentials and all activity under your account.

3. Scope of Services

• Our Services include Shopify development, migration, optimization, CRO, SEO, digital marketing campaigns, creative design packs, integrations, automation, and consulting.

• Deliverables may include code, design files, reports, campaigns, or other digital outputs.

• We make reasonable efforts to provide accurate representations of our Services, but outcomes (traffic, conversions, sales) are not guaranteed.

4. Payment Terms

• All Services require advance payment or milestone-based billing as agreed in writing.

• Ad spends, third-party subscriptions, plugins, or tools (e.g., Google Ads, Shopify apps, Klaviyo, CRM licenses) are billed directly to you and are non-refundable.

• Payments must be made in full before final deliverables are transferred.

• Failure to make timely payments may result in suspension of Services.

5. Refund & Cancellation

• No refunds once work has commenced or deliverables have been shared.

• Partial refunds may be considered only before project kickoff and at our discretion.

• All payments for consultations, audits, creative packs, and digital downloads are non-refundable.

6. Delivery of Services

• Project timelines are estimates and subject to revision based on dependencies, client inputs, and unforeseen delays.

• Digital deliverables (files, reports, access credentials) are deemed delivered once sent to the client’s registered email or project management system.

• We are not liable for delays caused by third-party vendors, ad platforms, or client-side approvals.

7. Intellectual Property Rights

• Pre-existing IP, frameworks, processes, and templates used in Services remain our property.

• Final deliverables (e.g., design files, campaign reports, website code) become the client’s property only upon full payment.

• Until full payment is received, we retain ownership and may withhold rights to use, modify, or transfer deliverables.

• Clients may not resell, sublicense, or transfer our deliverables without prior written consent.

8. Data & Privacy

• Your data will be collected and processed as per our Privacy Policy and Cookie Policy.

• We comply with the Digital Personal Data Protection Act (India, 2023), IT Act 2000/2008, and applicable international standards (GDPR/CCPA).

• You may opt out of non-essential data sharing via our Data Sharing Opt-Out Policy.

9. Prohibited Uses

You agree not to use our Services for:

• Any unlawful, fraudulent, or malicious activity.

• Uploading or transmitting malware or harmful code.

• Reselling or redistributing our Services without consent.

• Harassment, defamation, or abuse of our team members.

10. Disclaimer of Warranties

Our Services are provided on an “as is” and “as available” basis.
We do not warrant that:

• Results will meet your expectations,

• Services will be uninterrupted or error-free,

• Third-party tools (e.g., Shopify, Google Ads) will perform without changes or disruptions.

11. Limitation of Liability

To the fullest extent permitted by law:

• Our liability shall not exceed the total fees paid by you for Services in the three (3) months preceding the claim.

• We are not liable for indirect, incidental, punitive, or consequential damages, including lost profits, data loss, or business interruption.

12. Indemnification

You agree to indemnify and hold harmless Gcreationz, its affiliates, directors, employees, and contractors from any claims, liabilities, damages, or expenses (including legal fees) arising from your use of the Services, breach of these Terms, or violation of third-party rights.

13. Force Majeure

We are not liable for delays or failure in performance caused by events beyond our reasonable control, including natural disasters, pandemics, strikes, government restrictions, internet outages, or third-party platform disruptions.

14. Termination

We may suspend or terminate Services at any time if you breach these Terms. You remain liable for all amounts due up to the termination date.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of India, with exclusive jurisdiction of courts in Jaipur, Rajasthan.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be notified, and your continued use of the Services constitutes acceptance.
